Terms of Service
These Terms of Service ("Terms") govern your use of services provided by SocialPulse Media ("we," "us," or "our"), located at 9 Newfield Ct, Ballwin, MO 63011. By engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By signing a service agreement, submitting a project inquiry, or making a payment, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not engage our services.
2. Services Offered
SocialPulse Media provides the following services:
- Monthly Social Media Management — Management of 2–3 social platforms (Instagram, Facebook, LinkedIn), including content creation, posting, engagement, and analytics reporting. Rate: $1,500.00 / month.
- Content Creation Pack — 20 pieces of social media content (graphics + captions) ready to schedule and post. Rate: $800.00 / month.
- Social Media Strategy & Audit — Current platform analysis, competitor benchmarking, growth strategy, and content calendar planning for 3 months. Rate: $1,200.00 / project.
- Community Management (Retainer) — Daily engagement, comment responses, DM management, and community building. Rate: $1,000.00 / month.
All work is planned, created, and scheduled remotely. Service scope is defined in the individual project agreement or statement of work.
3. Payment Terms
- Invoices are issued at the start of each billing period (monthly) or upon project commencement.
- Payment is due within 7 calendar days of invoice date.
- Late payments may incur a fee of 1.5% per month on the outstanding balance.
- Services may be paused or terminated if payment is not received within 14 days of the due date.
- All prices are in USD and exclusive of applicable taxes.
4. Client Responsibilities
To enable us to deliver services effectively, you agree to:
- Provide timely access to social media accounts, brand assets, and necessary credentials.
- Review and approve content within agreed timelines (typically 48 hours).
- Provide accurate brand guidelines, tone of voice, and feedback.
- Notify us promptly of any changes to your business, products, or brand direction.
5. Intellectual Property
All content created by SocialPulse Media on your behalf (graphics, captions, strategies) becomes your property upon receipt of full payment for the applicable billing period or project. Prior to full payment, all created materials remain the intellectual property of SocialPulse Media.
You grant us a limited license to use your brand assets, logos, and existing content solely for the purpose of delivering the agreed services.
6. Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, or client data shared during the engagement. This obligation survives termination of the agreement.
7. Limitation of Liability
SocialPulse Media is not liable for any indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, loss of followers, or algorithm changes by third-party platforms. Our total liability shall not exceed the fees paid in the 30 days preceding the claim.
8. Termination
Either party may terminate a monthly retainer with 14 days' written notice. Project-based engagements may be terminated by mutual agreement. Upon termination, all outstanding invoices become immediately due. We will deliver all completed work product upon receipt of final payment.
9. Governing Law
These Terms are governed by the laws of the State of Missouri, USA. Any disputes shall be resolved in the courts of St. Louis County, Missouri.
10. Modifications
We reserve the right to update these Terms at any time. Continued engagement with our services after notification of changes constitutes acceptance of the revised Terms.
Refund Policy
At SocialPulse Media, we take pride in the quality of our work and are committed to delivering value on every engagement. Please read this Refund Policy carefully before purchasing any of our services.
1. General Policy
Due to the nature of our services — which involve significant time, creative labor, and strategic planning — all completed work is non-refundable. Once a deliverable has been created, reviewed, or published, it is considered rendered and payment is final.
2. Monthly Retainer Services
Monthly retainer fees (Social Media Management and Community Management) are billed at the start of each period and cover work performed throughout that month. Refunds are not available for retainer periods that have commenced.
If you cancel mid-month with proper notice, no refund will be issued for the current billing period, but you will not be charged for subsequent months.
3. Project-Based Services
For project-based engagements (Content Creation Pack, Strategy & Audit):
- Cancellation before work begins: A full refund will be issued, minus a 10% administrative fee to cover project setup and scheduling costs.
- Cancellation after work has commenced: You will be charged for the percentage of work completed at the time of cancellation. The remaining balance will be refunded.
- Cancellation after delivery: No refund will be issued once deliverables have been sent and reviewed.
4. Exceptional Circumstances
We understand that unexpected situations arise. If you believe you are entitled to a refund due to a service failure on our part (e.g., work not delivered as agreed, significant quality issues), we encourage you to contact us first. We will work in good faith to resolve the issue, which may include revisions, partial credit, or a negotiated refund.
5. How to Request a Refund
To initiate a refund request, please contact us in writing at contact@socialpulse-media.com with the following information:
- Your full name and business name.
- Invoice number and date of payment.
- A clear description of the reason for your refund request.
- Any supporting documentation or correspondence.
6. Review Timeline
All refund requests will be reviewed within 5–7 business days of receipt. We will notify you of our decision via email. Approved refunds will be processed within 10 business days and returned to the original payment method.
7. Dispute Resolution
If you are unsatisfied with our refund decision, we encourage open dialogue. We are committed to fair resolution and will make every reasonable effort to reach a mutually agreeable outcome before any formal dispute process is initiated.
Any unresolved disputes shall be governed by the laws of the State of Missouri, USA, as outlined in our Terms of Service.
